1. INTERPRETATION

1.1 Definitions
In these Terms and Conditions:
Business Day means a day other than a Saturday, Sunday or public holiday in England when banks are open for business.
Consumer means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.
Contract means the contract between Nux Supplies Ltd and the Customer for the supply of Goods and/or Services in accordance with these Terms.
Customer means any individual, sole trader, partnership, company or other organisation purchasing Goods or Services from Nux Supplies Ltd.
Delivery Location means the delivery address specified by the Customer.
Goods means any roofing materials, building materials, tools, accessories, equipment or other products supplied by Nux Supplies Ltd.
Order means any order placed through the Website, by email, by telephone, in person or by any other method accepted by Nux Supplies Ltd.
Services means any training courses, technical support, certification programmes or other services supplied by Nux Supplies Ltd.
Trade Customer means a customer purchasing Goods or Services wholly or mainly for business purposes.
Website means the Nux Supplies Ltd website and any associated domains operated by Nux Supplies Ltd.
1.2 Interpretation
In these Terms and Conditions:
a) References to legislation or statutory provisions include any amendment, modification, extension, consolidation, replacement or re-enactment of such legislation from time to time.
b) References to a person include an individual, company, partnership, limited liability partnership, corporation, organisation, government authority or other legal entity.
c) Words importing the singular shall include the plural and vice versa.
d) References to one gender shall include all genders.
e) References to “including”, “includes” or “in particular” shall be interpreted without limitation.
f) Clause headings are included for convenience only and shall not affect the interpretation of these Terms and Conditions.
g) Any obligation not to do something shall include an obligation not to permit, allow or cause that thing to be done.
1.3 Consumer and Trade Customer Rights
Certain provisions of these Terms and Conditions apply differently to Consumers and Trade Customers.
Where a Customer is a Consumer, nothing in these Terms and Conditions shall exclude or limit any rights that cannot legally be excluded or limited under applicable consumer protection legislation.
Where a customer is a Trade Customer, additional rights, remedies and protections may apply in favour of Nux Supplies Ltd to the fullest extent permitted by law.
1.4 Priority of Documents
In the event of any conflict between these Terms and Conditions and any other document issued by Nux Supplies Ltd, the following order of priority shall apply:
Any written agreement signed by Nux Supplies Ltd;
These Terms and Conditions;
Any quotation issued by Nux Supplies Ltd;
Any other document or communication.
1.5 Entire Agreement
These Terms and Conditions, together with any accepted quotation and order confirmation, constitute the entire agreement between Nux Supplies Ltd and the Customer relating to the supply of Goods and Services.
The Customer acknowledges that they have not relied upon any statement, representation, warranty or promise that is not expressly set out within the Contract.
Nothing in this clause shall exclude liability for fraud or fraudulent misrepresentation.

2. ABOUT US AND BASIS OF CONTRACT

2.2 Website Use
By accessing or using the Website, placing an Order, requesting a quotation, booking a training course or otherwise purchasing Goods or Services from Nux Supplies Ltd, the Customer agrees to be bound by these Terms and Conditions.
If the Customer does not agree to these Terms and Conditions, they must not place an Order or use the Website for purchasing Goods or Services.
2.3 Orders
An Order placed by the Customer constitutes an offer to purchase Goods and/or Services in accordance with these Terms and Conditions. Only Goods designated as available for online purchase may be ordered through the Website.
The Customer is responsible for ensuring that:
a) the Order is complete and accurate;
b) any specifications, measurements, quantities and requirements provided are correct;
c) sufficient quantities have been ordered for the intended application;
d) the Goods selected are suitable for the intended purpose.
Nux Supplies Ltd shall not be responsible for errors arising from inaccurate information supplied by the Customer.
2.4 Order Acceptance
An Order shall only be deemed accepted when Nux Supplies Ltd:
a) issues an order confirmation; or
b) dispatches the Goods; or
c) confirms acceptance of the Order in writing.
Until acceptance occurs, no legally binding Contract shall exist.
2.5 Right to Refuse Orders
Nux Supplies Ltd reserves the right to refuse, reject, suspend or cancel any Order at its sole discretion.
Without limitation, we may refuse or cancel an Order where:
a) Goods are unavailable;
b) pricing errors have occurred;
c) payment cannot be authorised;
d) delivery is unavailable to the requested location;
e) the Customer has provided inaccurate information;
f) fraud or misuse is suspected;
g) fulfilment of the Order is impractical or impossible.
Where payment has already been received, any refund due shall be made using the original payment method.
2.6 Quotations
Any quotation issued by Nux Supplies Ltd:
a) is provided for information purposes only;
b) does not constitute a contractual offer;
c) is subject to stock availability;
d) may be withdrawn or amended at any time prior to acceptance.
Unless otherwise stated, quotations remain valid for 30 days from the date of issue.
After this period, prices and availability may change without notice.
2.7 Pricing Errors
Whilst Nux Supplies Ltd takes reasonable care to ensure pricing accuracy, errors may occasionally occur.
If a pricing error is identified before dispatch or collection, Nux Supplies Ltd reserves the right to:
a) cancel the affected Order;
b) contact the Customer to confirm whether they wish to proceed at the correct price;
c) issue a full refund where payment has already been taken.
Nux Supplies Ltd shall not be obliged to supply Goods at an incorrect price.
2.8 Product Availability
All Goods are offered subject to availability.
Stock levels displayed on the Website are indicative only and may not reflect real-time availability.
Nux Supplies Ltd reserves the right to:
a) limit quantities;
b) substitute products where appropriate;
c) place Goods on back-order;
d) cancel unavailable items and issue a refund.
Where only part of an Order is unavailable, Nux Supplies Ltd may fulfil the remainder of the Order separately.
2.9 Business Customers
Where a Customer is purchasing Goods or Services for business purposes, they warrant that:
a) they have authority to enter into the Contract;
b) they are acting in the course of business;
c) any person placing an Order on behalf of the business is authorised to do so.
2.10 Consumer Customers
Where a Customer is a Consumer, nothing in these Terms and Conditions shall affect any statutory rights that cannot legally be excluded or restricted.
Consumer rights under the Consumer Rights Act 2015, Consumer Contracts Regulations 2013 and other applicable legislation remain unaffected.
2.11 Communications
The Customer agrees that Nux Supplies Ltd may communicate with them using:
a) email;
b) telephone;
c) SMS messaging;
d) postal correspondence;
e) Website notifications.
Communications sent to the contact details provided by the Customer shall be deemed received unless the Customer notifies Nux Supplies Ltd of a change of contact details.
2.12 Amendments
Nux Supplies Ltd reserves the right to amend these Terms and Conditions from time to time.
The version in force at the time an Order is accepted shall apply to that Contract.
Any updated version will be published on the Website.
2.13 Basis of Contract
For the avoidance of doubt, the display of any Goods on the Website does not constitute a contractual offer. Goods displayed for catalogue or informational purposes may be subject to separate sales procedures and availability requirements

3. GOODS AND PRODUCT INFORMATION

3.1 Product Descriptions

3.4 Colour Variation and Manufacturing Tolerances
Many roofing and building products are subject to natural or manufacturing variation.
Variations may occur in:
a) colour;
b) texture;
c) finish;
d) dimensions;
e) weight;
f) appearance.
Customers acknowledge that reasonable variation between production batches is normal and shall not constitute a defect.
Where colour consistency is important, Customers are encouraged to purchase sufficient quantities from the same production batch where available.
3.5 Product Availability
All Goods are offered subject to availability.
Nux Supplies Ltd does not guarantee continuous availability of any product.
We reserve the right to:
a) discontinue products;
b) withdraw products from sale;
c) substitute products where appropriate;
d) limit quantities available for purchase.
Where a product becomes unavailable after an Order has been placed, Nux Supplies Ltd may offer an alternative product, arrange a back-order or provide a refund.
3.6 Pack Quantities and Minimum Order Quantities
Certain Goods may only be available for purchase in:
a) full packs;
b) pallets;
c) bundles;
d) rolls;
e) cartons;
f) manufacturer-specified minimum quantities.
Where such requirements apply, Nux Supplies Ltd reserves the right to adjust quantities ordered to comply with manufacturer packaging requirements.
Customers are responsible for reviewing pack sizes and minimum quantity requirements before placing an Order.
3.7 Coverage Rates and Quantity Calculations
Any coverage rates, quantity estimators, project calculators, material recommendations or quantity guidance provided by Nux Supplies Ltd are provided for guidance purposes only.
Actual material requirements may vary due to:
a) installation methods;
b) project design;
c) site conditions;
d) waste factors;
e) cutting requirements;
f) installer practices.
Customers remain solely responsible for ensuring that sufficient quantities of Goods are ordered.
Nux Supplies Ltd accepts no liability for shortages arising from reliance upon coverage estimates or quantity calculations.
3.8 Product Suitability
The Customer is responsible for determining whether Goods are suitable for their intended application, project requirements and installation method.
Unless expressly confirmed in writing by Nux Supplies Ltd, no warranty, representation or guarantee is given that any Goods are suitable for a particular purpose.
Where technical advice is provided, such advice is based upon information available at the time and is offered in good faith.
The Customer remains responsible for verifying suitability before use.
3.9 Technical Advice
Any technical information, recommendations, installation guidance, product support or advice provided by Nux Supplies Ltd is given in good faith based upon information supplied by the Customer.
Such information does not constitute professional design advice, engineering advice or a project-specific specification.
The Customer remains responsible for:
a) project design;
b) compliance with building regulations;
c) compliance with manufacturer instructions;
d) ensuring suitability of products and systems.
3.10 Technical Documentation and Manufacturer Information
Technical data sheets, product literature, installation guides, specifications and manufacturer documentation are provided for information purposes only. Customers remain responsible for ensuring that they are using the most current version of the relevant manufacturer’s documentation at the time of specification, installation and use.
3.11 Installation Responsibility
Nux Supplies Ltd supplies Goods only unless expressly agreed otherwise in writing.
Nux Supplies Ltd accepts no responsibility for:
a) installation methods;
b) workmanship;
c) contractor performance;
d) design decisions;
e) specification decisions;
f) project management;
g) failures arising from incorrect installation.
Any issues resulting from incorrect installation, misuse or failure to follow manufacturer guidance shall not constitute a defect in the Goods supplied.
3.12 Manufacturer Warranties
Certain Goods may be supplied with manufacturer warranties, guarantees or performance assurances.
Such warranties are provided by the manufacturer and not by Nux Supplies Ltd unless expressly stated otherwise in writing.
Nux Supplies Ltd makes no representation regarding the availability, duration or scope of any manufacturer warranty.
Any claims under a manufacturer warranty may be subject to the manufacturer’s terms, conditions and claims procedures.
3.13 Hazardous Products

Nux Supplies Ltd shall not be liable for any loss, damage, injury or expense arising from misuse, improper storage, incorrect application or failure to follow manufacturer instructions.
3.14 Product Recalls and Safety Notices
Where a manufacturer issues a product recall, safety notice or corrective action relating to Goods supplied by Nux Supplies Ltd, Customers must follow any instructions provided by the manufacturer or Nux Supplies Ltd.
Nux Supplies Ltd reserves the right to contact Customers regarding safety-related matters where contact information is available.
3.15 Compliance with Manufacturer Instructions
The Customer shall ensure that all Goods are installed, stored, handled and maintained in accordance with the relevant manufacturer’s instructions.
Failure to follow manufacturer guidance may invalidate warranties, guarantees and performance claims.
Nux Supplies Ltd accepts no liability for losses arising from failure to comply with manufacturer instructions.
3.16 Catalogue Products and Non-Website Sales
The Website may display certain Goods for information purposes only.
The presence of a product within the Website catalogue does not necessarily indicate that the product is available for purchase through the Website.
Certain Goods may only be available for purchase in-store, by telephone, by email, or through a separate quotation process.
Where Goods are not available for online purchase, the display of such Goods shall not constitute an offer for sale and no Contract shall arise through the Website in respect of those Goods.
Availability, pricing, specifications and purchasing arrangements for catalogue-only products may differ from those applicable to Goods available for online purchase.
3.17 Product Storage
Certain Goods may be adversely affected by weather, moisture, temperature, sunlight or other environmental conditions. Customers are responsible for ensuring Goods are stored in accordance with manufacturer recommendations immediately upon delivery or collection.

4. PRICING AND PAYMENT

4.1 Pricing
All prices displayed on the Website are shown in Pounds Sterling (£) and include Value Added Tax (VAT) at the prevailing rate unless otherwise stated.
Where displayed, VAT-exclusive prices are provided for information purposes only.
The VAT-inclusive price shall be the price payable by the Customer unless otherwise agreed in writing.
4.2 Delivery Charges
Delivery charges are not included within product prices unless expressly stated.
Applicable delivery charges shall be displayed during the checkout process or otherwise communicated to the Customer before an Order is placed.
Delivery charges may vary depending upon:
a) delivery postcode;
b) order value;
c) order size or weight;
d) delivery requirements;
e) availability of delivery services.
4.3 Quotations
All quotations are provided subject to:
a) stock availability;
b) manufacturer pricing;
c) supplier pricing;
d) transportation costs;
e) VAT rates applicable at the time of supply.
Unless otherwise stated in writing, quotations shall remain valid for 30 days from the date of issue.
Following expiry, Nux Supplies Ltd reserves the right to revise pricing without notice.
4.4 Pricing Errors
Whilst Nux Supplies Ltd takes reasonable care to ensure pricing accuracy, pricing errors may occasionally occur.
Where a pricing error is identified before dispatch or collection, Nux Supplies Ltd reserves the right to:
a) cancel the affected Order;
b) contact the Customer and offer the opportunity to proceed at the correct price;
c) issue a full refund where payment has already been received.
Nux Supplies Ltd shall not be obliged to supply Goods at an incorrect price.
4.5 Price Changes
Nux Supplies Ltd reserves the right to amend prices at any time prior to acceptance of an Order.
Once an Order has been accepted, the agreed price shall apply unless:
a) the Customer requests changes to the Order;
b) incorrect pricing was applied due to an obvious error;
c) circumstances outside the reasonable control of Nux Supplies Ltd require amendment.
4.6 Payment Terms
Payment must be made in full before:
a) Goods are dispatched;
b) Goods are released for collection;
c) Services are provided;
unless otherwise agreed in writing by Nux Supplies Ltd.
No credit facilities are offered unless expressly agreed in writing.
4.7 Accepted Payment Methods
Nux Supplies Ltd accepts payment by methods made available through the Website, including:
a) Visa;
b) Mastercard;
c) Debit Cards;
d) Stripe-supported payment methods;
e) any other payment methods displayed at checkout.

b) delivery addresses;

d) identity information;
e) fraud prevention checks.
Where verification cannot be completed satisfactorily, Nux Supplies Ltd may suspend or cancel the Order.
4.10 Failed or Reversed Payments

Where appropriate, information may be shared with payment providers, fraud prevention agencies, law enforcement authorities or regulatory bodies.
4.12 Taxes and Duties
All prices displayed on the Website include UK VAT where applicable.
Should any additional taxes, duties, levies or government charges become payable in connection with a transaction, the Customer shall be responsible for such charges unless otherwise required by law.
4.13 Refunds
Any refund due under these Terms and Conditions shall normally be made using the original payment method.
Nux Supplies Ltd reserves the right to verify entitlement to a refund before processing any payment.
Refund processing times may vary depending upon the payment provider and banking system used.
4.14 Set-Off
Trade Customers shall not be entitled to withhold payment or set off any amount claimed to be owed by Nux Supplies Ltd against any amount due under a Contract unless agreed in writing or required by law.
4.15 Ownership Pending Payment

Notwithstanding delivery or collection of Goods, ownership of the Goods shall remain with Nux Supplies Ltd until payment has been received in full and cleared funds have been obtained.
Risk in the Goods shall pass in accordance with Section 6 of these Terms and Conditions.

5. DELIVERY AND COLLECTION

5.1 Delivery Area
Nux Supplies Ltd currently provides delivery services only to selected postcode areas within London.
Delivery areas may be amended, expanded or restricted from time to time without notice.
Delivery availability is subject to location, vehicle availability, product type and operational requirements.
Nux Supplies Ltd reserves the right to refuse delivery to any location at its sole discretion.
5.2 Delivery Dates and Times
Any delivery dates, delivery windows or delivery times provided by Nux Supplies Ltd are estimates only.
Whilst Nux Supplies Ltd shall use reasonable endeavours to meet estimated delivery dates, time shall not be of the essence.
Nux Supplies Ltd shall not be liable for any loss, damage, costs or expenses arising from delayed delivery.
5.3 Circumstances Beyond Our Control
Delivery dates may be affected by circumstances including but not limited to:
a) traffic conditions;
b) road closures;
c) accidents;
d) vehicle breakdowns;
e) supplier delays;
f) adverse weather conditions;
g) shortages of materials;
h) industrial action;
i) events beyond the reasonable control of Nux Supplies Ltd.
Such circumstances shall not constitute a breach of Contract.
5.4 Delivery by Instalments
Nux Supplies Ltd reserves the right to deliver Goods in instalments or separate consignments.
Each delivery shall constitute a separate delivery under the Contract.
A delay in, or failure of, one instalment shall not entitle the Customer to reject any other instalment or cancel the remainder of the Contract.
5.5 Partial Deliveries
Where part of an Order is unavailable, Nux Supplies Ltd may:
a) deliver available items immediately;
b) place unavailable items on back-order;
c) arrange a subsequent delivery;
d) issue a refund for unavailable items.
The Customer shall not be entitled to reject delivered Goods solely because the entire Order has not been delivered at the same time.
5.6 Delivery Location
The Customer is responsible for ensuring that:
a) the delivery address is accurate;
b) suitable access is available;
c) someone is available to receive the Goods where required;
d) delivery instructions are accurate and up to date.
Nux Supplies Ltd shall not be liable for delays, failed deliveries or additional costs arising from inaccurate information supplied by the Customer.
5.7 Site Access
The Customer shall ensure that delivery vehicles can safely access the delivery location.
If access is restricted, unsafe or otherwise unsuitable, Nux Supplies Ltd may:
a) refuse delivery;
b) rearrange delivery;
c) deliver to the nearest reasonably accessible location;
d) return the Goods to its depot.
Any additional costs incurred as a result may be charged to the Customer.
5.8 Safe Unloading
The Customer shall ensure that a safe and suitable unloading area is available at the delivery location.
Nux Supplies Ltd reserves the right to refuse to unload Goods where its driver reasonably believes that unloading would present a risk to:
a) health and safety;
b) property;
c) vehicles;
d) members of the public.
Any resulting redelivery or storage costs may be charged to the Customer.
5.9 Failed Deliveries
Where delivery cannot be completed due to:
a) customer absence;
b) inaccurate delivery information;
c) restricted access;
d) unsafe unloading conditions;
e) refusal to accept delivery;
f) any circumstance attributable to the Customer,
Nux Supplies Ltd reserves the right to:
i) rearrange delivery;
ii) return the Goods to its depot;
iii) charge reasonable redelivery, storage and administration fees.
5.10 Risk in Goods
Risk in the Goods shall pass to the Customer upon the earlier of:
a) completion of delivery; or
b) collection by the Customer or the Customer’s representative.
Once risk has passed, the Customer shall be responsible for the Goods.
5.11 Delivery Documentation
Where a delivery note, electronic signature, photograph or other delivery confirmation is obtained, such evidence shall be deemed proof of delivery unless the Customer can demonstrate otherwise.
5.12 Inspection of Goods
The Customer shall inspect the Goods as soon as reasonably practicable following delivery or collection.
The Customer must check:
a) quantities;
b) product types;
c) visible damage;
d) packaging condition.
5.13 Shortages, Damage and Incorrect Goods
Claims relating to:
a) shortages;
b) missing items;
c) visible damage;
d) incorrect Goods supplied;
must be reported to Nux Supplies Ltd within 48 hours of delivery or collection.
Photographic evidence may be requested.
Failure to notify Nux Supplies Ltd within this period may affect our ability to investigate and resolve the claim.
5.14 Collection Orders
Where Goods are ordered for collection, Nux Supplies Ltd shall notify the Customer when the Goods are ready.
The Customer must not attempt to collect Goods before receiving such notification.
Proof of identity and proof of purchase may be required before Goods are released.
5.15 Collection Times
Collection shall only be permitted during the opening hours notified by Nux Supplies Ltd.
Nux Supplies Ltd reserves the right to amend collection hours from time to time.
5.16 Uncollected Goods
Goods must be collected within 14 days of notification that they are ready for collection.
Where Goods are not collected within this period, Nux Supplies Ltd reserves the right to:
a) cancel the Order;
b) return the Goods to stock;
c) apply a reasonable restocking charge at its sole discretion;
d) refund any remaining balance due to the Customer.
Nux Supplies Ltd reserves the right to refuse collection where the person collecting Goods cannot provide satisfactory proof of identity, proof of purchase or evidence of authority to collect on behalf of the Customer.
5.17 Storage Charges
Where Goods are held beyond the collection period or where delivery cannot be completed due to circumstances attributable to the Customer, Nux Supplies Ltd reserves the right to apply reasonable storage charges.
5.18 Ownership of Goods
Ownership of Goods shall remain with Nux Supplies Ltd until payment has been received in full and cleared funds have been obtained.
Nothing in this Section shall affect the transfer of risk in accordance with Clause 5.10.

6. RETURNS, REFUNDS AND CONSUMER CANCELLATION RIGHTS

6.1 General Returns Policy
In addition to any statutory rights available under applicable consumer protection legislation, Nux Supplies Ltd offers a voluntary returns policy for eligible Goods.
Subject to the provisions of this Section, Customers may request to return eligible Goods within 30 days of receiving them.
Acceptance of any return remains subject to compliance with these Terms and Conditions.
6.2 Conditions for Returns
To qualify for return, Goods must:
a) be returned within 30 days of receipt;
b) be unused;
c) be undamaged;
d) be in their original condition;
e) be suitable for resale;
f) be returned in their original packaging where reasonably possible;
g) be accompanied by proof of purchase.
Nux Supplies Ltd reserves the right to reject returns that do not satisfy these requirements.
6.3 Return Procedure
Before returning Goods, Customers should contact Nux Supplies Ltd to obtain return instructions.
Unless otherwise agreed, returned Goods must be delivered to a location nominated by Nux Supplies Ltd.
Returned Goods remain the Customer’s responsibility until received and inspected by Nux Supplies Ltd.
Customers are advised to obtain proof of return delivery.
6.4 Inspection of Returned Goods
All returned Goods shall be inspected upon receipt.
Nux Supplies Ltd reserves the right to determine whether returned Goods satisfy the conditions set out in these Terms and Conditions.
Where Goods are found to be:
a) used;
b) damaged;
c) incomplete;
d) contaminated;
e) not suitable for resale;
Nux Supplies Ltd may refuse the return or apply an appropriate reduction to any refund where permitted by law.
6.5 Return Transport Costs
Unless Goods are faulty, damaged on delivery or supplied incorrectly, Customers shall be responsible for all costs associated with returning Goods.
Nux Supplies Ltd shall not be responsible for return transport costs incurred by the Customer unless expressly agreed in writing.
6.6 Restocking Charges
Nux Supplies Ltd reserves the right to apply a reasonable restocking charge where returned Goods require:
a) inspection;
b) repackaging;
c) cleaning;
d) special handling;
e) administration;
f) transportation.
Any restocking charge shall be determined by Nux Supplies Ltd acting reasonably.
6.7 Non-Returnable Goods
The following Goods shall not be eligible for return unless faulty, damaged on delivery or incorrectly supplied:
a) opened liquid products;
b) products where manufacturer seals have been broken;
c) products specially ordered, sourced, manufactured or procured specifically for a customer and which are not ordinarily held in stock;
d) bespoke products;
e) products manufactured, sourced or modified specifically for the Customer;
f) products that have been mixed, cut, altered or customised;
g) products that have deteriorated due to improper storage or handling following delivery.
6.8 Liquid Products
For the avoidance of doubt, liquid products including, but not limited to:
a) resins;
b) topcoats;
c) primers;
d) adhesives;
e) sealants;
f) coatings;
must remain sealed and unopened to qualify for return.
Opened liquid products shall not be accepted for return unless faulty.
6.9 Trade Customer Returns
Returns from Trade Customers are accepted at the discretion of Nux Supplies Ltd.
Nux Supplies Ltd reserves the right to refuse returns from Trade Customers where:
a) Goods are no longer required;
b) excessive quantities were ordered;
c) Goods are not part of our current stock range;
d) the return would be commercially unreasonable.
Nothing in this clause affects any rights relating to faulty Goods.
6.10 Consumer Cancellation Rights
Where the Customer is a Consumer purchasing Goods online, they may have cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
Subject to applicable legal exemptions, Consumers may be entitled to cancel their Contract within 14 days of receiving the Goods.
Consumers wishing to exercise cancellation rights should contact Nux Supplies Ltd before returning Goods.
6.11 Consumer Return Obligations
Where a Consumer exercises their statutory cancellation rights:
a) Goods must be returned without undue delay;
b) Goods must be handled only to the extent necessary to establish their nature, characteristics and functioning;
c) the Consumer may be responsible for any reduction in value resulting from handling beyond what is reasonably necessary.

6.12 Exemptions from Consumer Cancellation Rights
Consumer cancellation rights may not apply to certain Goods, including:
a) bespoke or custom-made products;
b) Goods made to the Customer’s specification;
c) products that cannot be returned for hygiene, safety or practical reasons once opened;
d) any other products exempt under applicable legislation.
6.13 Faulty Goods
Nothing in these Terms and Conditions affects a Customer’s legal rights relating to Goods that are:
a) faulty;
b) not as described;
c) not of satisfactory quality;
d) unfit for purpose where applicable law provides such rights.
Customers should notify Nux Supplies Ltd as soon as reasonably possible after discovering any fault.
6.14 Remedies for Faulty Goods
Where Goods are confirmed to be faulty and the Customer is entitled to a remedy under applicable law, Nux Supplies Ltd may, at its option and subject to legal requirements:
a) repair the Goods;
b) replace the Goods;
c) provide a refund;
d) offer another appropriate remedy.
Nux Supplies Ltd may require the Goods to be inspected before determining the appropriate remedy.
6.15 Refund Processing
Approved refunds shall normally be processed using the original payment method.
Refunds may take several Business Days to appear depending upon the Customer’s payment provider and banking institution.
Nux Supplies Ltd shall not be liable for delays caused by third-party payment providers.
6.16 Returned Goods Not Accepted
Where returned Goods do not qualify for return and the Customer wishes to have them returned, Nux Supplies Ltd reserves the right to require payment of any applicable transport, handling or storage costs before releasing the Goods.
6.17 No Effect on Statutory Rights
Nothing in this Section shall exclude, restrict or limit any statutory rights that cannot lawfully be excluded or restricted.
Where a Customer is a Consumer, their statutory rights shall take precedence over any conflicting provision of these Terms and Conditions.

7. TRAINING COURSES AND CERTIFICATION PROGRAMMES

7.1 General
Nux Supplies Ltd may offer training courses, certification programmes, demonstrations, workshops and other educational services (“Training Services”).
Training Services may be delivered by Nux Supplies Ltd, manufacturers, suppliers or third-party training providers.
Availability of Training Services may vary and is subject to change without notice.
7.2 Training Bookings
A booking request for Training Services constitutes an offer by the Customer to attend the relevant course or programme.
A booking shall only be confirmed when Nux Supplies Ltd issues written confirmation of acceptance.
Nux Supplies Ltd reserves the right to refuse any booking at its discretion.
7.3 Course Fees
Training fees may vary depending on:
a) the type of course;
b) the training provider;
c) the Customer’s relationship with Nux Supplies Ltd;
d) manufacturer requirements;
e) promotional arrangements;
f) any other relevant circumstances.
Applicable fees shall be communicated at the time of booking.
All fees are subject to VAT where applicable.
7.4 Payment for Training
Where payment is required, payment must be received in full prior to attendance unless otherwise agreed in writing.
Nux Supplies Ltd reserves the right to refuse attendance where payment has not been received.
7.5 Non-Refundable Bookings
Unless expressly agreed otherwise in writing, all training bookings are non-refundable.
Once a booking has been confirmed, the Customer shall not be entitled to a refund if they cancel, fail to attend or otherwise choose not to participate.
7.6 Failure to Attend
Where a Customer fails to attend a booked course, workshop or certification programme:
a) the booking shall be treated as used;
b) no refund shall be issued;
c) no credit shall be issued;
d) any future attendance shall require a new booking.
7.7 Rescheduling by Nux Supplies Ltd
Nux Supplies Ltd reserves the right to:
a) change course dates;
b) change course locations;
c) change instructors or trainers;
d) modify course content;
e) postpone courses;
f) cancel courses.
Where a course is cancelled by Nux Supplies Ltd, any fees paid may, at Nux Supplies Ltd’s discretion, be refunded, transferred to an alternative course or credited towards future training.
7.8 Certification Programmes
Certain courses may lead to manufacturer accreditation, installer status, certification or other forms of approval.
Certification remains subject to:
a) attendance requirements;
b) successful completion of assessments;
c) manufacturer requirements;
d) ongoing compliance obligations imposed by the manufacturer.
Nux Supplies Ltd does not guarantee that attendance alone will result in certification or accreditation.
7.9 Manufacturer Requirements
Where Training Services relate to a specific manufacturer or product system, the Customer agrees to comply with any applicable manufacturer requirements, rules, standards and procedures.
Failure to comply with manufacturer requirements may result in refusal, suspension or withdrawal of certification.
7.10 Training Materials
All training materials, course notes, presentations, handouts, videos and other educational content remain the intellectual property of Nux Supplies Ltd, the relevant manufacturer or the relevant rights holder.
Such materials may not be copied, reproduced, distributed, published or shared without prior written permission.
7.11 Health and Safety
Customers attending Training Services must:
a) comply with all health and safety requirements;
b) follow instructions provided by trainers and staff;
c) use any required personal protective equipment;
d) behave in a safe and responsible manner.
Nux Supplies Ltd reserves the right to remove any attendee whose behaviour creates a health and safety risk or disrupts the training environment.
7.12 Limitation of Training Liability
Training Services are provided for educational purposes only.
The Customer remains responsible for:
a) selecting suitable products;
b) complying with manufacturer instructions;
c) complying with applicable laws and regulations;
d) ensuring the suitability of any installation methods used.
Nux Supplies Ltd shall not be liable for losses arising from the Customer’s reliance upon training materials, demonstrations or guidance where such losses result from incorrect application, installation, workmanship or project-specific circumstances.
7.13 Personal Data
Information relating to attendance, certification status and training records may be shared with relevant manufacturers, certification bodies or training providers where necessary for the administration of Training Services.
Such processing shall be carried out in accordance with the Nux Supplies Ltd Privacy Policy.
7.14 Changes to Training Services
Nux Supplies Ltd reserves the right to amend, withdraw or discontinue any Training Service at any time without liability, except as required by law.

d) manufacturer guidance was not followed.
9.4 Installation and Workmanship
Nux Supplies Ltd supplies Goods only unless expressly agreed otherwise in writing.
Nux Supplies Ltd accepts no responsibility for:
a) installation methods;
b) workmanship;
c) contractor performance;
d) project design;
e) project specification;
f) site conditions;
g) compliance with building regulations;
h) compliance with manufacturer instructions.
Any losses arising from incorrect installation or workmanship shall remain the responsibility of the installer and/or Customer.

a) installation has not been carried out in accordance with manufacturer instructions;
b) products have been incorrectly stored or handled;
c) products have been modified or altered;
d) site conditions affect performance;
e) the Goods have been used outside their intended application.
9.7 Delays
Nux Supplies Ltd shall not be liable for losses arising from delays in:
a) delivery;
b) collection;
c) product availability;

Where the Customer is a Consumer, Nux Supplies Ltd’s liability shall be limited only to the extent permitted by applicable law.
9.11 Manufacturer Warranties
Manufacturer warranties, guarantees and performance assurances are provided by the relevant manufacturer and not by Nux Supplies Ltd unless expressly stated otherwise in writing.
Nux Supplies Ltd shall not be liable for any failure by a manufacturer to honour a warranty or guarantee.
9.12 Third-Party Products
Where Goods are manufactured by third parties, Nux Supplies Ltd’s liability shall be limited to the extent permitted by law and shall not exceed any rights available against the relevant manufacturer.

The provisions of this Section shall survive the termination, cancellation or completion of any Contract.

10.1 General

11.4 Reasonable Steps
Nux Supplies Ltd shall use reasonable endeavours to minimise the effects of any Force Majeure Event and resume normal operations as soon as reasonably practicable.
Nothing in this clause shall require Nux Supplies Ltd to incur unreasonable cost or risk in doing so.
11.5 Allocation of Available Stock
Where a Force Majeure Event results in limited availability of Goods, Nux Supplies Ltd reserves the right to allocate available stock between customers in a manner it considers reasonable.
Nux Supplies Ltd shall not be liable for any loss arising from such allocation decisions.
11.6 Supplier and Manufacturer Issues
Where a supplier, manufacturer, distributor or other third party fails to supply Goods, services or materials required by Nux Supplies Ltd due to circumstances beyond their reasonable control, such failure shall constitute a Force Majeure Event for the purposes of these Terms and Conditions.
11.7 Extended Force Majeure
If a Force Majeure Event continues for a period exceeding 60 consecutive days, Nux Supplies Ltd may, at its discretion:
a) cancel any affected Order;
b) terminate the affected Contract;
c) issue a refund for Goods or Services not supplied;
d) agree alternative arrangements with the Customer.
Neither party shall have any further liability to the other in respect of obligations affected by the Force Majeure Event, save for rights and obligations that accrued prior to cancellation or termination.
11.8 Customer Obligations
The Customer shall remain responsible for any obligations that are not affected by the Force Majeure Event, including any obligation to pay sums properly due before the occurrence of the Force Majeure Event.
11.9 No Automatic Cancellation Rights
Unless otherwise required by law, the occurrence of a Force Majeure Event shall not automatically entitle the Customer to cancel a Contract or refuse delivery of Goods that remain capable of being supplied.
11.10 Survival
The provisions of this Section shall survive the termination, cancellation or completion of any Contract where necessary to give effect to their purpose.

12. GENERAL LEGAL PROVISIONS

12.1 Entire Agreement
These Terms and Conditions, together with any accepted quotation, order confirmation and any documents expressly incorporated by reference, constitute the entire agreement between Nux Supplies Ltd and the Customer.
They supersede all prior discussions, negotiations, correspondence, representations, understandings and agreements relating to the subject matter of the Contract.
12.2 Reliance on Representations
The Customer acknowledges that it has not relied upon any statement, representation, assurance or warranty that is not expressly set out in the Contract.
Nothing in this clause shall exclude or limit liability for fraud or fraudulent misrepresentation.
12.3 Assignment
Nux Supplies Ltd may assign, transfer, subcontract, delegate or otherwise deal with any of its rights or obligations under the Contract.
The Customer may not assign, transfer, subcontract, delegate or otherwise deal with any of its rights or obligations under the Contract without the prior written consent of Nux Supplies Ltd.
12.4 Subcontracting
Nux Supplies Ltd may engage subcontractors, suppliers, delivery providers, training providers or other third parties to perform any part of its obligations under the Contract.
Nux Supplies Ltd shall remain responsible for the performance of any obligations it subcontracts.
12.5 No Partnership or Agency
Nothing contained within these Terms and Conditions shall create or be deemed to create:
a) a partnership;
b) a joint venture;
c) an agency relationship;
d) an employment relationship;
between Nux Supplies Ltd and the Customer.
Neither party shall have authority to bind the other.
12.6 Waiver
No failure or delay by Nux Supplies Ltd in exercising any right, power or remedy under the Contract shall constitute a waiver of that right, power or remedy.
Any waiver shall only be effective if made in writing and shall apply only to the specific circumstances for which it is given.
A waiver of any breach shall not constitute a waiver of any subsequent breach.
12.7 Severability
If any provision of these Terms and Conditions is determined by a court or competent authority to be unlawful, invalid or unenforceable, that provision shall be deemed severed from the Contract.
The remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
12.8 Third Party Rights
A person who is not a party to the Contract shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of the Contract.
This shall not affect any right or remedy of a third party which exists independently of that Act.
12.9 Variation of Terms
Nux Supplies Ltd reserves the right to amend, modify or update these Terms and Conditions from time to time.
Any amended version shall be published on the Website.
The version in force at the time an Order is accepted shall apply to the relevant Contract unless otherwise agreed in writing.
12.10 Written Amendments
No amendment to a Contract shall be binding unless agreed in writing by an authorised representative of Nux Supplies Ltd.
12.11 Notices
Any notice given under these Terms and Conditions shall be deemed valid if sent:
a) by email to the most recent email address provided by the recipient;
b) by post to the last known postal address of the recipient;
c) by any other method expressly agreed between the parties.
A notice shall be deemed received:
i) if sent by email, on the date of transmission unless a delivery failure notification is received;
ii) if sent by post, two Business Days after posting within the United Kingdom.
12.12 Survival of Clauses
Any provision of these Terms and Conditions which by its nature is intended to survive termination, cancellation or completion of a Contract shall continue in force after such termination, cancellation or completion.
This includes, without limitation:
a) intellectual property provisions;
b) limitation of liability provisions;
c) confidentiality obligations;
d) payment obligations;
e) governing law provisions.
12.13 No Exclusivity
Nothing in these Terms and Conditions shall prevent Nux Supplies Ltd from supplying goods or services to any other person or business.
12.14 Interpretation
In the event of ambiguity or inconsistency within these Terms and Conditions, the interpretation which most closely reflects the commercial intention of the parties and the lawful operation of the Contract shall apply.
12.15 Electronic Communications
The Customer agrees that communications, notices, confirmations, invoices and other documents may be provided electronically.
Electronic communications shall satisfy any legal requirement that such communications be in writing.
12.16 Record Keeping
Nux Supplies Ltd may retain records relating to Orders, Contracts, communications, training attendance, certifications, deliveries, collections and payments for such periods as it considers reasonably necessary to comply with legal, regulatory and business requirements.
12.17 Headings
Clause headings are included for convenience only and shall not affect the interpretation of these Terms and Conditions.
12.18 Continuing Obligations
Termination, cancellation or completion of a Contract shall not affect any accrued rights, remedies, obligations or liabilities existing at the date of termination, cancellation or completion.

13. GOVERNING LAW AND JURISDICTION

13.1 Governing Law

These Terms and Conditions, any Contract entered into between Nux Supplies Ltd and the Customer, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

13.2 Jurisdiction

Subject to Clause 13.3, the courts of England and Wales shall have exclusive jurisdiction to hear and determine any dispute, claim or matter arising out of or in connection with:

  1. a) these Terms and Conditions;
  2. b) any Contract between Nux Supplies Ltd and the Customer;
  3. c) the supply of Goods or Services by Nux Supplies Ltd;
  4. d) the use of the Website.

13.3 Consumer Rights

Where the Customer is a Consumer, nothing in these Terms and Conditions shall deprive them of any rights available under applicable consumer protection laws.

Consumers may be entitled to bring proceedings in the courts of the part of the United Kingdom in which they are resident where required by law.

13.4 Alternative Dispute Resolution

Where appropriate, the parties are encouraged to attempt to resolve disputes through discussion and negotiation before commencing formal legal proceedings.

Nothing in this clause shall prevent either party from seeking any remedy or relief available through the courts.

13.5 Severability of Jurisdiction Provisions

If any provision of this Section is held to be invalid, unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

13.6 Commencement

These Terms and Conditions shall take effect from the date published on the Website and shall apply to all Orders, Contracts, Goods and Services supplied by Nux Supplies Ltd from that date onwards.
